12. GOVERNING LAW / VENUE

适用法律 / （管辖）地点

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without giving effect to any principles of conflicts of law . Venue for any lawsuit concerning the construction , enforcement or breach of this Agreement shall be solely in Dallas County , Texas.

该协议应该按照德州法律进行管辖和解释，同时不适用冲突法原则。任何关于协议的解释，执行或此协议的违约的（管辖）地点必须只能是在德州的达拉斯。

13. ATTORNERS’FEES

律师费

In the event of litigation between the parties concerning the construction ,breach or enforcement of this Agreement , the prevailing party shall be entitled to recover its reasonable attorneys’ fees and expenses from the non-prevailing party .

如果因协议解释，违约或此协议的执行而在各方间产生任何的诉讼，胜诉方有权向败诉方取回合理的律师费用。
